Project experience
- Provided comprehensive support for a corporate conflict in a prominent automotive group in the Northwestern Federal District. The conflict involved disputes over management bodies and challenges to transactions involving key assets. We ensured that the clients' property losses were fully recovered, and that the shares in the business were redeemed at their fair value. The amount involved in the dispute tallied over RUB 10 billion.
- Created a defense strategy and represented the owner of a major IT group in a dispute with the former owner's heirs. We provided comprehensive support to protect the client's existing business from a potential hostile takeover. The assets protected tallied over RUB 7 billion.
- Represented a Forbes-listed client (top-50 wealthiest women). The client was involved in a corporate conflict with another company over a medical business. This conflict included legal disputes over management decisions and mandatory offers. As a result, the client gained corporate control over the company. The assets protected tallied over RUB 5 billion.
- Provided comprehensive legal assistance in Russia’s central corporate conflict of 2020. We secured a position in over 20 disputes, which allowed the client to sign settlement agreements for over RUB 19 billion worth of commodity assets.
- Represented a client in a dispute between former business co-owners. The claims involved tallied over RUB 3.4 billion, which made it the largest- ever corporate conflict in the Northwestern Federal District.
- Represented a client in a corporate dispute that arose upon the death of the founder of a cosmetics empire. The value of assets tallied over RUB 2 billion.
- Represented a beneficiary of Aspect Bank in a complicated corporate dispute that involved multiple jurisdictions and had a criminal aspect. The Supreme Court of the Russian Federation made a landmark decision regarding the rights of the beneficiary (Case of Aspect-Finance CJSC).
- Represented one of the beneficiaries of a Moscow-based chain of medical clinics in a corporate conflict that occurred when a minority shareholder decided to leave the joint business. The conflict was resolved in a manner beneficial for the client.
- Successfully resolved conflicts and structured a transaction involving strategic partners of a federal energy company. The transaction was part of a joint venture for the development of an elite suburb of Saint Petersburg. The value of the assets involved exceeded RUB 1 billion.
- Represented the shareholders of a major regional company in a complex corporate conflict. This involved several criminal cases, multi- jurisdictional search for the opposing parties, and disputes over the validity of management decisions and matters related to the issuance of shares and invalidation of transactions.
- Represented a manufacturer of metal structures in a dispute with a minority shareholder who saught to invalidate an additional issue of shares aimed at raising investment. We ensured that all the client's rights were fully restored.
